What This Means (2025 FDD)
According to Pump It Up's 2025 Franchise Disclosure Document, a franchisee must pay a fee of one dollar ($1.00) to the franchisor upon execution of the Software License Agreement. This fee grants the franchisee a nonexclusive, nonassignable license to use the computer programs (the "Software") listed in the schedule to the Software License. The franchisor may update the schedule to include enhancements, upgrades, or replacements to the software at a reasonable cost.
The franchisee is only allowed to use the software in the operation of the Pump It Up system at approved locations. They are prohibited from modifying, copying, translating, or reproducing the software without prior written consent from Pump It Up, except to the extent required for operating the system. The franchisee also cannot make the software available to any other party or reverse engineer it.
All copies of the software remain the exclusive property of Pump It Up. The franchisee acknowledges that the software contains Pump It Up's trade secrets and agrees not to disclose or use the software in any way other than operating the Pump It Up system. The term of the Software License is co-extensive with the Franchise Agreement, meaning it lasts as long as the franchise agreement is in effect. Termination of the Franchise Agreement automatically terminates the Software License.
