What This Means (2025 FDD)
Based on the 2025 Franchise Disclosure Document, the circumstances for signing a rider or addendum to the Precision Door Service franchise agreement are primarily related to legal compliance, particularly concerning state franchise laws. Specifically, the addendum addresses potential inconsistencies between the franchise agreement and state laws, such as the Maryland Franchise Registration and Disclosure Law.
The addendum ensures that no statement signed by the franchisee waives claims under state franchise law, including fraud, or disclaims reliance on franchisor statements. This protects the franchisee's rights and ensures compliance with state-specific regulations. The provisions of the addendum are effective only to the extent that they meet the jurisdictional requirements of the relevant state franchise law, operating independently of the addendum itself.
In essence, the rider is signed to modify the franchise agreement to align with specific state laws, providing additional protection to the franchisee and ensuring legal compliance. Unless expressly amended by the addendum, all other provisions of the franchise agreement remain unchanged, indicating that the addendum serves as a supplement rather than a complete overhaul of the original agreement.
