Under what conditions can PROTRADENET terminate the agreement with a Precision Door Service franchisee?

Notwithstanding the foregoing, PROTRADENET may terminate this Agreement at any time, with or without cause, for any reason whatsoever upon providing the other party written notice of intent to terminate the Agreement and this agreement will automatically terminate upon expiration or termination of the franchise agreement by and between Franchisee and Franchisor with no notice of termination required.
In any case, PROTRADENET may terminate this Agreement at any time upon notice to Franchisee if Franchisee is in default of his Franchise Agreement with Franchisor or if Franchisee has failed to comply with the terms and conditions of participation in this Program as set forth in this Agreement, on the website of PROTRADENET or as specified by Franchisor.
Upon any termination of this agreement neither PROTRADENET nor any of its affiliates will have any liability to Franchisee or any other party.

What This Means (2025 FDD)
According to the 2025 Precision Door Service FDD, PROTRADENET has the right to terminate its agreement with a franchisee under several circumstances. PROTRADENET can terminate the agreement at any time, with or without cause, by providing written notice to the franchisee. This provides PROTRADENET with broad discretion to end the agreement for any reason.
Additionally, the agreement between PROTRADENET and the franchisee will automatically terminate if the franchise agreement between the franchisee and Precision Door Service expires or is terminated. This means that the PROTRADENET agreement is contingent upon the franchisee maintaining an active franchise agreement with Precision Door Service. No separate notice of termination is required in this case.
PROTRADENET can also terminate the agreement if the franchisee defaults on their franchise agreement with Precision Door Service. Similarly, PROTRADENET can terminate the agreement if the franchisee fails to comply with the terms and conditions of participation in the PROTRADENET program, as outlined in the agreement, on the PROTRADENET website, or as specified by Precision Door Service. These terms give PROTRADENET avenues to end the agreement if the franchisee does not adhere to the requirements set forth by either Precision Door Service or PROTRADENET itself.
The FDD states that upon termination of the agreement, neither PROTRADENET nor its affiliates will have any liability to the franchisee or any other party. This clause protects PROTRADENET from any claims or financial responsibility resulting from the termination of the agreement.
