What This Means (2025 FDD)

According to Precision Door Service's 2025 Franchise Disclosure Document, the term "Intellectual Property" is broadly defined within the Franchise Agreement. It encompasses a wide array of rights and assets associated with the Precision Door Service business and system. This includes not only registered items like patents, copyrights, and trademarks (referred to as the Marks), but also unregistered rights such as rights to inventions, business names, domain names, and social media accounts.

The definition extends to the content and programming of social media accounts, including related security codes and passwords, as well as rights in goodwill and the ability to take legal action against those who misrepresent or dilute the brand. It also covers rights in designs, database rights, and the right to protect the confidentiality of sensitive information, including know-how. This definition applies to intellectual property rights worldwide, whether they currently exist or arise in the future.

For a prospective Precision Door Service franchisee, this comprehensive definition means that Precision Door Service retains ownership and control over virtually all aspects of the brand's identity, operational methods, and creative output. Franchisees are granted the right to use this intellectual property under the terms of the Franchise Agreement, but they do not own it. Furthermore, any ideas or creations related to the Precision Door Service business, even those developed by the franchisee, automatically become the property of Precision Door Service. This underscores the importance of understanding the scope of intellectual property rights and restrictions before entering into a franchise agreement.
