- P. Ethical Business Conduct. You agree to adhere to good business practices, observing high standards of honesty, integrity, fair dealing and ethical business conduct and good faith in all business dealings with Customers, vendors, your employees, our corporate employees, and all other PRECISION GARAGE DOOR SERVICE® franchisees. You must not engage in deceptive, misleading or unethical practices or conduct that may have a negative impact on the reputation and goodwill associated with the Marks.
- Q. Crisis Situations. In the interest of protecting the PRECISION GARAGE DOOR SERVICE® brand, Marks and the System, we have the sole and absolute right to determine a response, including what steps will be taken and what communications will be made, in instances of a Crisis, and you agree to comply with and implement our directions in response to a Crisis. "Crisis" means an event or development that negatively impacts the PRECISION GARAGE DOOR SERVICE® brand or System in such a way that we determine may cause substantial harm or injury to the Marks, System, the Intellectual Property associated with the System, or the reputation or image of the PRECISION GARAGE DOOR SERVICE® brand.
- R. Minimum Performance Standards. Beginning with the second full calendar year of operating the Business, the Business must achieve (a) in each calendar year, annual Gross Sales that are in the top 90% of the annual Gross Sales per franchised business for the PRECISION GARAGE DOOR SERVICE® franchise system for that calendar year (the "Gross Sales MPS") and (b) a Net Promoter Score (or another customer satisfaction survey score we designate) ("NPS") that is not more than 10 points below the average NPS for the PRECISION GARAGE DOOR SERVICE® franchise system for each applicable measurement period we set (the "Customer Satisfaction MPS" and collectively with the Gross Sales MPS, the "Minimum Performance Standards"). If you operate multiple PRECISION GARAGE DOOR SERVICE® businesses, the Minimum Performance Standards will apply separately to each franchised business. You agree we can make changes to the Minimum Performance Standards upon 6 months' prior written notice in accordance with our Reasonable Business Judgement (as defined in Section 14.G.3) and so long as such revised Minimum Performance Standards are applied to all similarly situated PRECISION GARAGE DOOR SERVICE® franchised businesses.

What This Means (2025 FDD)
According to the 2025 Precision Door Service FDD, franchisees are expected to adhere to ethical business practices, maintaining high standards of honesty, integrity, fair dealing, and ethical conduct in all business dealings. Franchisees must avoid deceptive, misleading, or unethical practices that could negatively impact the brand's reputation. This requirement ensures that all franchisees operate with a consistent level of professionalism and integrity, protecting the overall brand image of Precision Door Service.
Precision Door Service also has the sole right to determine the response to crisis situations that may negatively impact the brand. Franchisees are required to comply with and implement the franchisor's directions during such events. A "Crisis" is defined as an event that could cause substantial harm to the Precision Door Service brand, system, intellectual property, or reputation. This provision allows Precision Door Service to manage and mitigate potential damage to the brand effectively.
Beginning in the second full calendar year of operation, a Precision Door Service franchise must meet certain Minimum Performance Standards (MPS). These standards include achieving annual Gross Sales that are in the top 90% of the annual Gross Sales per franchised business within the Precision Door Service system. Additionally, franchisees must maintain a Net Promoter Score (NPS) that is not more than 10 points below the average NPS for the entire franchise system. These standards are designed to ensure that franchisees maintain a certain level of performance and customer satisfaction. If a franchisee operates multiple Precision Door Service businesses, the Minimum Performance Standards apply separately to each franchised business. Precision Door Service can make changes to the Minimum Performance Standards with 6 months' prior written notice, provided such changes are based on Reasonable Business Judgement and applied to all similarly situated franchisees.
