  • A. We have developed a system for establishing and operating businesses identified by the Marks (as defined below) and engaged in the sale, repair, service, and installation of garage doors and operators, equipment, components and supplies, including installation, upgrades and remodeling, and performance of related services and repairs, pursuant to certain standards and specifications (each, a "PRECISION GARAGE DOOR SERVICE® Business").
  • B. We own the PRECISION GARAGE DOOR SERVICE service mark and other marks, as well as other Intellectual Property (as defined below) used in connection with the operation of a PRECISION GARAGE DOOR SERVICE® Business.
  • Q. Crisis Situations. In the interest of protecting the PRECISION GARAGE DOOR SERVICE® brand, Marks and the System, we have the sole and absolute right to determine a response, including what steps will be taken and what communications will be made, in instances of a Crisis, and you agree to comply with and implement our directions in response to a Crisis. "Crisis" means an event or development that negatively impacts the PRECISION GARAGE DOOR SERVICE® brand or System in such a way that we determine may cause substantial harm or injury to the Marks, System, the Intellectual Property associated with the System, or the reputation or image of the PRECISION GARAGE DOOR SERVICE® brand.
    1. You must implement and abide by our requirements and standards directed to enhancing substantial System uniformity. The following provisions control with respect to operation of your Business:

You acknowledge and agree that we have the right to modify, add to or rescind any requirement, standard or specification that we prescribe under this Agreement to adapt the System to changing conditions, competitive circumstances, business strategies, business practices and technological innovations and other changes as we deem appropriate. You must comply with these modifications, additions or rescissions at your expense, subject to any express limitations set forth in this Agreement.

Franchisees are expected to actively promote their businesses and adhere to Precision Door Service's marketing and advertising requirements. The franchisor may establish and manage a Marketing, Advertising, and Promotion Fund (MAP Fund) to support marketing efforts, with the franchisor having the right to determine the methods and content of marketing campaigns. Precision Door Service also has the right to negotiate Key Account arrangements, including pricing, which will bind all franchisees providing services to such Key Accounts.
