Our PRECISION GARAGE DOOR SERVICE® franchisees sell, service, repair, install, and maintain garage doors, operators, including related equipment, components and supplies, and perform

upgrades, remodeling and other related services, pursuant to certain standards and specifications, within a designated territory as we determine. The franchised businesses operate under our service mark PRECISION GARAGE DOOR SERVICE®, and the additional principal service marks, trademarks, trade names, logos, emblems, slogans or indicia of origin which are or may be designated by us in the future (the "Marks") for use in accordance with the methods and processes developed by us in connection with the franchise (the "System") within a specified geographical area (the "Territory"). The System includes our operating systems, marketing systems, business techniques, and methods, processes, policies and procedures for providing garage door repair, service and installation services and related services and products, including, but not limited to garage door operators, equipment, components and supplies, including upgrades, remodeling and related services, along with items of trade dress and sales, leadership and management training for the development and operation of Precision Garage Door Service® Businesses, including all training materials, all as the same may exist today or as the same may change from time to time, as specified in the Operations Manual or as otherwise reasonably directed by us from time to time. You may, if we approve, convert an existing business offering similar services to a Business or add additional territory to a Business under the terms stated in the Franchise Agreement and related agreements.

The standard form of franchise agreement we are now offering is included in this disclosure document as Exhibit A (the "Franchise Agreement"). When we update our disclosure document, the form of franchise agreement and other agreements may change, fees and other obligations may increase, and the terms and conditions on which you may obtain a franchise may be less favorable as compared with a previous disclosure document.

Uniformity of franchise agreements among our franchisees may not always be possible or practical. We and our predecessors have offered in the past and we may offer in the future, franchise agreements to other franchisees on terms materially different from those included in this disclosure document. We also may materially vary the franchise agreement terms, conditions, and obligations (including those relating to fees, territories, training and other items) offered to other franchisees and except as may be required by applicable law we have no obligation to disclose these variations to you or to grant the same or similar variation to you. If you are a private equity firm and you meet our qualifications to become an owner of multiple Precision Garage Door Service® franchises (a "PE Owner"), we may allow you to enter into an addendum to Franchise Agreement, substantially in the form of Exhibit N-1 to this disclosure document (the "PE Addendum"), which modifies certain terms of our Franchise Agreement as further described in this disclosure document.

We also offer to qualified PE Owners the right to develop a minimum of two Precision Garage Door Service® Businesses and a maximum of 5 Businesses within a Development Area determined by us, under a development agreement ("Development Agreement"). The Development Agreement requires the PE Owner to open an agreed-upon number of Businesses in accordance with a development schedule. The PE Owner (or its affiliate approved by us) must sign one Franchise Agreement at the time it signs the Development Agreement, and that Business must be opened within 6 months of signing. For each additional Business, the PE Owner (or approved affiliate) must sign our then-current form of Franchise Agreement for each Business that it opens.

The market for Precision Garage Door Service® services is a developed market. Sales are not seasonal. Your primary competition will be garage door repair and new door installation services companies. You may compete with other independent, local repair service businesses for customers and for qualified technicians to work in your business.

The FDD states that Precision Garage Door Service franchisees sell, service, repair, install, and maintain garage doors, operators, related equipment, components and supplies, and perform upgrades, remodeling and other related services, pursuant to certain standards and specifications. These standards are part of the Precision Door Service System, which includes operating systems, marketing systems, business techniques, methods, processes, policies and procedures.

The Franchise Agreement emphasizes adherence to good business practices, honesty, integrity, and ethical conduct in all dealings. Franchisees must avoid deceptive or unethical practices that could harm the brand's reputation. In crisis situations that could negatively impact the Precision Door Service brand, the franchisor has the sole right to determine the response, and franchisees must comply with the franchisor's directions.

Furthermore, franchisees must meet minimum performance standards, including achieving annual gross sales within the top 90% of the franchise system and maintaining a Net Promoter Score (NPS) no more than 10 points below the system average. The franchisor can change these standards with six months' prior written notice, provided the changes are applied to all similarly situated franchisees. These requirements underscore the importance of adhering to the franchisor's standards and specifications to maintain brand consistency and meet performance expectations.
