Answer from 2025 FDD Document

This Agreement (i) sets forth the entire understanding among Buyer, Owner and Franchisor with respect to its subject matter and cannot be changed except by written instrument signed by you and Franchisor, and (ii) is separate from any other agreement regarding conditions to Franchisor's consent to the Transfer or any agreement between Buyer and Seller regarding the Transfer.

What This Means (2025 FDD)

According to the 2025 Precision Door Service FDD, the franchise agreement is separate from any other agreement regarding conditions to the franchisor's consent to the transfer or any agreement between a buyer and seller regarding the transfer. This means that if a franchisee decides to sell their Precision Door Service franchise to a new owner, any agreements made between the buyer and seller concerning the sale are considered entirely separate from the franchise agreement itself.

This separation is important because it clarifies that Precision Door Service's obligations and responsibilities are limited to the terms outlined in the franchise agreement. Any additional agreements or conditions negotiated between the buyer and seller are their own responsibility, and Precision Door Service is not a party to those agreements. This protects Precision Door Service from being held liable for any disputes or issues that may arise between the buyer and seller outside of the franchise agreement.

For a prospective franchisee, this means that if they later decide to sell their franchise, they need to be aware that any agreements they make with the buyer are separate from their franchise agreement with Precision Door Service. They should seek legal counsel to ensure that these separate agreements are properly drafted and protect their interests. This also means that Precision Door Service's consent to the transfer may be subject to its own conditions, which are separate from the buyer and seller's private agreements.
