FRANCHISE AGREEMENT

This Franchise Agreement (the "Agreement") is made as of the Effective Date by and between PRECISION DOOR SERVICE SPV LLC, a Delaware limited liability company with its principal business located at 2395 Washington Avenue, Suite 5, Titusville, Florida 32780 ("we", "us" or "Franchisor"), and the person or entity (the "Franchisee" or "you") identified as Franchisee on the Data Sheet attached as Schedule A (together with addenda attached thereto, the "Data Sheet"). If the Franchisee is a corporation, partnership, limited liability company or other legal entity, the provisions of this Agreement also apply to its owners.

RECITALS

  • A. We have developed a system for establishing and operating businesses identified by the Marks (as defined below) and engaged in the sale, repair, service, and installation of garage doors and operators, equipment, components and supplies, including installation, upgrades and remodeling, and performance of related services and repairs, pursuant to certain standards and specifications (each, a "PRECISION GARAGE DOOR SERVICE® Business").
  • B. We own the PRECISION GARAGE DOOR SERVICE service mark and other marks, as well as other Intellectual Property (as defined below) used in connection with the operation of a PRECISION GARAGE DOOR SERVICE® Business.
  • C. You desire to develop and operate a PRECISION GARAGE DOOR SERVICE® Business, and we have agreed to grant you a franchise to operate a PRECISION GARAGE DOOR SERVICE® Business subject to the terms and conditions of this Agreement.

In consideration of the foregoing and the promises and consideration below, you and we agree as follows:
