What This Means (2025 FDD)
According to Potbelly Sandwich Works' 2025 Franchise Disclosure Document, a franchisee can replace their Operator as they see fit. However, there are certain stipulations that must be met. First, the replaced Operator must relinquish any ownership interest in the franchise. Second, the replacement Operator must satisfactorily complete Potbelly Sandwich Works' training requirements. Finally, the franchisee must identify the new or replacement Operator for Potbelly Sandwich Works' approval, which must be obtained before the new Operator assumes the role.
This approval process ensures that the new Operator meets Potbelly Sandwich Works' standards for managing a franchise location. The training requirement is typical in franchising, as it ensures that the Operator is well-versed in the brand's operating procedures and standards. The need for the replaced operator to relinquish ownership interest is likely in place to avoid conflicts of interest or operational disagreements.
For a prospective Potbelly Sandwich Works franchisee, this means that while they have the flexibility to choose their Operator, they must adhere to the franchisor's requirements for approval and training. This process helps maintain consistency and quality across all Potbelly Sandwich Works locations. Franchisees should factor in the time and potential costs associated with training a new Operator when considering a replacement.
It is also important to note that the Operator must sign a form undertaking personally to be bound, jointly and severally, by the non-monetary obligations in the Franchise Agreement. This underscores the importance Potbelly Sandwich Works places on the Operator's commitment to upholding the brand's standards and obligations.
