What This Means (2025 FDD)

According to the 2025 Petro Stopping Center Franchise Disclosure Document, Petro Franchise Systems LLC retains ownership of any improvements developed by a franchisee. The FDD specifies that if a franchisee or their personnel develop any ideas, copyrightable works, concepts, methods, techniques, or improvements related to their Petro Center, these "Improvements" must be disclosed to Petro Franchise Systems LLC.

Petro Franchise Systems LLC is deemed to own these improvements and has the right to use them and authorize others, including the franchisee who developed them, to use them in the operation of Petro Stopping Centers. This means that while a franchisee may come up with a new and innovative way to improve the business, they will not own that improvement outright.

Furthermore, the FDD states that these improvements will then also constitute Confidential Information. This clause ensures that Petro Stopping Center can implement successful innovations across its franchise system while maintaining control over proprietary knowledge. For a prospective franchisee, this highlights the importance of contributing to the system's development while understanding that the franchisor ultimately owns and controls the intellectual property.
