What This Means (2025 FDD)
According to the 2025 Petro Stopping Center Franchise Disclosure Document, any improvements developed by a franchisee or their personnel related to their Petro Stopping Center are to be disclosed to Petro Stopping Center. These improvements, which can include ideas, copyrightable works, concepts, methods, or techniques, become the property of Petro Stopping Center. Petro Stopping Center has the right to use these improvements and authorize others to use them in the operation of Petro Stopping Centers.
These improvements are also classified as Confidential Information, meaning they are subject to the confidentiality obligations outlined in the franchise agreement. The franchisee's relationship with Petro Stopping Center does not grant them any ownership interest in this Confidential Information, other than the right to use it for their Petro Stopping Center's development and operation. Using or duplicating this information in any other business is considered an unfair method of competition.
This means that while a franchisee may come up with innovative solutions or improvements for their location, Petro Stopping Center retains ownership and can implement those ideas across the entire franchise system. The franchisee is obligated to share these improvements and keep them confidential, preventing them from using the ideas in separate ventures. This is a fairly standard practice in franchising, allowing the franchisor to maintain consistency and benefit from the collective knowledge of its franchisees.
