What This Means (2025 FDD)
According to the 2025 Petro Stopping Center Franchise Disclosure Document, the franchise agreement does not confer any goodwill or other interests in the Marks or Copyrights to the franchisee. The FDD states that the franchisee's right to use the Marks and Copyrights is solely derived from the agreement and is limited to the operation of the Petro Center in compliance with the agreement and all Petro System Standards during the term. Any unauthorized use of the Marks and Copyrights by the franchisee will be considered a breach of the agreement and an infringement of Petro Stopping Center's rights.
The agreement explicitly states that the franchisee's usage of the Marks and Copyrights, and any goodwill established by such use, will be exclusively for the benefit of Petro Stopping Center. This means that while franchisees can use the brand's trademarks and copyrighted materials to operate their location, they do not gain any ownership or rights to the goodwill associated with the brand. The franchisee's rights are limited to operating the Petro Center according to the franchise agreement.
This is a common practice in franchising, as the franchisor typically retains ownership of the brand and its associated intellectual property. This allows the franchisor to maintain control over the brand's image and reputation, and to ensure consistency across all franchise locations. For a prospective franchisee, this means that the value and recognition built up during the franchise term ultimately benefit the franchisor, not the franchisee, upon termination or expiration of the agreement.
