In order to maintain the quality and uniformity of the Products and Services offered at the Petro Center, we may require you to purchase all items, goods, products, ingredients, fixtures, furnishings, equipment, décor items and signage from suppliers (which may include us or our Affiliates) who demonstrate to our continuing satisfaction the ability to meet the Petro System Standards; who possess adequate quality controls and capacity to supply your needs promptly and reliably; and who have been approved in writing by us and not thereafter disapproved ("Approved Suppliers").

What This Means (2025 FDD)

According to the 2025 Petro Stopping Center Franchise Disclosure Document, suppliers must meet specific criteria to become and remain "Approved Suppliers." These suppliers must demonstrate the ability to consistently meet Petro System Standards, maintain adequate quality controls, and possess the capacity to promptly and reliably supply the needs of a Petro Stopping Center location. The franchisor, Petro Stopping Center, must provide written approval of these suppliers, which can be revoked if the supplier fails to continue meeting the required standards.

Petro Stopping Center has the right to limit the suppliers with whom franchisees can deal to protect trade secrets, ensure quality, guarantee a reliable supply of products and services meeting Petro System Standards, secure better terms and delivery, control the use of trademarks, and monitor the manufacture, packaging, processing, and sale of items. If Petro Stopping Center limits the sources of materials, fixtures, equipment, furniture, signs, products, goods, and services to itself, its affiliates, or specified exclusive or approved sources, franchisees must acquire these items only from those approved sources at prices determined by Petro Stopping Center or its approved sources.

If a franchisee wishes to purchase from an unapproved supplier, they must request approval in writing. Petro Stopping Center can then inspect the supplier's facilities and test their products, with the franchisee bearing the costs of inspection and testing. Petro Stopping Center will notify the franchisee of the approval or disapproval in writing within 30 days of receiving the completed request and evaluation. Petro Stopping Center retains the right to re-inspect facilities and re-evaluate products, revoking approval if the supplier fails to meet the standards.

Petro Stopping Center also reserves the right to designate itself or an affiliate as the sole approved supplier of Proprietary Supplies and/or Motor Fuel, without any obligation to consider alternative suppliers. This system allows Petro Stopping Center to maintain tight control over its supply chain and product quality, but it also means franchisees may be required to purchase from specific sources at prices determined by those sources, potentially impacting their costs and profit margins. Franchisees should carefully consider these restrictions and their potential financial implications.
