According to Petro Stopping Center's 2025 Franchise Disclosure Document, using or duplicating confidential information in any business other than the franchisee's Petro Stopping Center is considered an unfair method of competition. The franchisor discloses confidential information to the franchisee and their personnel through manuals, training, guidance, and assistance. This information includes the Petro System, site selection criteria, marketing strategies, and other proprietary knowledge. Franchisees may also develop improvements related to their Petro Stopping Center, which Petro Stopping Center will own, and these improvements also constitute confidential information.
To protect this confidential information, franchisees must maintain absolute confidentiality during and after the franchise term. They are prohibited from using the confidential information in any other business or capacity and from making unauthorized copies of the information. Franchisees must also implement reasonable procedures to prevent unauthorized use or disclosure, including restrictions on disclosure to employees and the use of non-disclosure and non-competition agreements.
There are exceptions to these confidentiality restrictions. Franchisees may disclose or use information that is generally known to the public and used in Petro Stopping Centers, provided that the franchisee first gives Petro Stopping Center written notice of their intended disclosure or use. Disclosure of confidential information is also permitted in judicial or administrative proceedings if legally compelled, provided that Petro Stopping Center is given the opportunity to obtain a protective order or other assurance of confidentiality. These measures ensure that Petro Stopping Center can protect its proprietary information while allowing franchisees to operate their businesses effectively and comply with legal requirements.
