What This Means (2025 FDD)
According to Pearce Bespoke's 2025 Franchise Disclosure Document, in the state of Minnesota, the payment of the initial franchise fee, development fee, and any other initial payment will be deferred until all material pre-opening obligations have been satisfied and the business is open and operating. However, the franchisee must execute the Franchise Agreement prior to looking for a site or beginning training.
This deferral is specific to Minnesota due to the state's franchise laws, as indicated by the addendum to the Pearce Bespoke Franchise Agreement required by the State of Minnesota. This means that for franchisees in Minnesota, the initial financial burden is lessened until the business is ready to open, which can be a significant advantage.
It is important to note that while the payment is deferred, the Franchise Agreement must still be signed before site selection or training begins. This implies that the franchisee is still committed to the franchise and must meet certain obligations before the deferral takes effect. This arrangement provides a degree of financial flexibility for new franchisees in Minnesota, aligning with the state's franchise regulations.
