What This Means (2025 FDD)

According to Pearce Bespoke's 2025 Franchise Disclosure Document, the franchisor will indemnify the franchisee against obligations or liability for damages under specific conditions. Pearce Bespoke will cover damages attributable to agreements, representations, or warranties made by the franchisor. Additionally, Pearce Bespoke will provide indemnification for damages caused by the franchisor's negligence or willful actions.

This indemnification extends to covering the costs the franchisee reasonably incurs while defending against claims brought against them or in any legal action where they are named as a party. However, Pearce Bespoke retains the right to participate in and control any litigation or proceeding if it deems necessary, especially if such actions might result in liability or expense for the franchisee.

This section of the Franchise Agreement ensures that franchisees are protected from liabilities arising directly from the franchisor's actions or representations. It is a fairly standard clause in franchise agreements, offering a degree of financial security to the franchisee. However, the franchisor's right to control litigation is a point to consider, as it could impact the franchisee's ability to manage their defense strategy.
