What This Means (2025 FDD)

According to the 2025 Pearce Bespoke Franchise Disclosure Document, a franchisee is required to make changes or amendments to the Marks immediately at their own expense if the franchisor determines it advisable or necessary. This requirement is triggered upon written notice from Pearce Bespoke. The franchisee is also prohibited from independently making any changes, amendments, or discontinuations to the Marks and Business System unless directed by Pearce Bespoke in writing.

This provision gives Pearce Bespoke significant control over its brand's image and presentation. It ensures uniformity and consistency across all franchise locations. For a prospective franchisee, this means they must be prepared to adapt their signage, marketing materials, and other branded items to comply with any changes Pearce Bespoke deems necessary.

The franchisee bears the financial responsibility for these changes, which could involve costs for new signage, marketing collateral, and potentially other items displaying the Marks. Therefore, franchisees should factor in potential rebranding expenses when assessing the overall cost of the franchise. It is important to maintain open communication with Pearce Bespoke to understand the potential scope and frequency of such changes to budget accordingly.

This level of control over branding is typical in franchising, as franchisors need to protect their trademarks and ensure a consistent brand experience for customers. However, the financial burden placed on the franchisee to implement these changes highlights the importance of a clear understanding of the franchisor's long-term branding strategy.
