You agree that: (i) you will not use the Confidential Information in any business or capacity other than the Pearce Bespoke Business; (ii) you will maintain the confidentiality of the Confidential Information at all times; (iii) you will not make unauthorized copies of documents containing the Confidential Information; (iv) you will take such reasonable steps as the we may ask of you from time to time to prevent unauthorized use or disclosure of the Confidential Information; and (v) you will stop using the Confidential Information immediately at our request or demand.

What This Means (2025 FDD)
According to the 2025 FDD, as a Pearce Bespoke franchisee, you must immediately stop using the Confidential Information if requested or demanded to do so by the company. Confidential Information includes non-public methods, specifications, standards, policies, procedures, information, concepts, programs, and systems relating to the development, establishment, marketing, promotion, and operation of Pearce Bespoke. It also encompasses information about customers, customer lists, email lists, database lists, product sales, operating results, financial performance, and other financial data.
The agreement emphasizes the importance of maintaining the confidentiality of this information and preventing its unauthorized use or disclosure. Franchisees are expected to take reasonable steps to protect this information, as requested by Pearce Bespoke from time to time. Failure to comply with these terms can result in irreparable harm to Pearce Bespoke and its franchisees, potentially leading to injunctive relief. This means Pearce Bespoke can seek a court order to stop any breach of the confidentiality agreement. The agreement also stipulates that franchisees waive any right to challenge the terms as overly broad or unenforceable, highlighting the seriousness with which Pearce Bespoke regards the protection of its Confidential Information.
