Except as expressly provided in Section 4.1 or any other agreement between the parties, we and our affiliates retain the right, in our sole discretion, to conduct any business activities, under any name, in any geographic area, and at any location, regardless of the proximity to or effect on your Business.

For example, we and our affiliates have the right to:

  • (a) Establish or license franchises and/or company-owned outlets or other facilities or businesses offering similar or identical products, services, and classes and using the System or elements of the System (i) under the Marks anywhere outside of the Development Area or (ii) under names, symbols, or marks other than the Marks anywhere, including inside and outside of the Development Area;

  • (b) Sell or offer, or license others to sell or offer, any products or services using the Marks or other marks through any alternative distribution channels, including, without limitation, through e-commerce, in retail stores, via recorded media, via online videos, or via broadcast media, anywhere, including inside and outside of the Development Area;

  • (c) Advertise, or authorize others to advertise anywhere, using the Marks;

  • (d) Acquire, be acquired by, or merge with other companies with existing similar businesses, and/or Pearce Bespoke Businesses anywhere (including inside or outside of the Development Area) and, even if such businesses are located in the Development Area, (i) convert the other businesses to the Pearce Bespoke name, (ii) permit the other businesses to continue to operate under another name, and/or (iii) permit the businesses to operate under another name and convert existing Businesses to such other name; and

  • (e) Engage in any other activity, action or undertaking that we are not expressly prohibited from taking under this Agreement.

Furthermore, Pearce Bespoke retains the right to advertise anywhere using the Pearce Bespoke marks and to authorize others to do the same. They can also acquire, be acquired by, or merge with other companies with similar businesses, including existing Pearce Bespoke Businesses, regardless of location. Even if these businesses are located within a franchisee's Development Area, Pearce Bespoke can convert them to the Pearce Bespoke name, allow them to operate under another name, or convert existing Pearce Bespoke Businesses to that other name. Finally, Pearce Bespoke can engage in any activity, action, or undertaking not expressly prohibited by the Area Development Agreement.

This extensive reservation of rights means that a Pearce Bespoke franchisee's protected territory offers limited protection. Pearce Bespoke can operate or license competing businesses and alternative distribution channels, even within the franchisee's Development Area, as long as they do not use the Pearce Bespoke marks. This could significantly impact a franchisee's business, especially if Pearce Bespoke introduces new brands or distribution methods that draw customers away from the franchised location. Prospective franchisees should carefully consider these competitive risks and seek clarification from Pearce Bespoke regarding their specific plans for alternative distribution channels and brands in the franchisee's target market.
