What right does Pearce Bespoke reserve to protect its interests in the Business System and Marks?

Franchisee will use the Marks and Business System in strict compliance with the standards, operating procedures, specifications, requirements, and instructions required of all Pearce Bespoke franchisees, which Franchisor may periodically amend and supplement. Any required standards exist to protect Franchisor's interests in the Business System and the Marks and not for the purpose of establishing any control or duty to take control over those matters that are reserved to Franchisee. The required standards generally will be set forth in the Operations Manual or other written materials. The Operations Manual also will include guidelines or recommendations in addition to required standards. In some instances, the required standards will include recommendations or guidelines to meet the required standards. Franchisee may follow the recommendations or guidelines or some other suitable alternative, provided Franchisee meets and complies with the required standards. In other instances, no suitable alternative may exist. In order to protect Franchisor's interests in the Business System and Marks, Franchisor reserves the right to determine if Franchisee is meeting a required standard and whether an alternative is suitable to any recommendations or guidelines.

According to the 2025 Pearce Bespoke Franchise Disclosure Document, Pearce Bespoke retains the right to determine if a franchisee is meeting required standards and whether any alternative approaches are suitable when recommendations or guidelines are provided. This ensures that all franchisees adhere to the brand's standards and protect the integrity of the Business System and Marks.
Pearce Bespoke also reserves the right to revise its Operations Manual at any time, which contains the operational policies, standards, requirements, and practices franchisees must follow. Franchisees are obligated to comply with these revisions. This allows Pearce Bespoke to adapt to changing market conditions and maintain consistency across all franchise locations.
Furthermore, Pearce Bespoke can decide if changes, amendments, or discontinuation of any or all of the Marks are necessary. Franchisees must implement these changes immediately upon written notice from Pearce Bespoke. This provision enables Pearce Bespoke to protect its brand identity and ensure uniformity in its Marks across all franchise locations. If a franchisee's actions infringe upon or harm the goodwill, standards of uniformity or quality, or business standing associated with the Marks and Business System, Pearce Bespoke can direct the franchisee to modify or discontinue its use of the Marks and Business System.
