  • (d) Acquire, be acquired by, or merge with other companies with existing similar businesses, and/or Pearce Bespoke Businesses anywhere (including inside or outside of the Development Area) and, even if such businesses are located in the Development Area, (i) convert the other businesses to the Pearce Bespoke name, (ii) permit the other businesses to continue to operate under another name, and/or (iii) permit the businesses to operate under another name and convert existing Businesses to such other name;

What This Means (2025 FDD)

According to the 2025 Pearce Bespoke Franchise Disclosure Document, Pearce Bespoke is not restricted from acquiring or merging with other companies that have similar businesses, even if those businesses are located inside the Development Area. Pearce Bespoke retains the right to acquire, be acquired by, or merge with other companies with existing similar businesses, regardless of their location.

Pearce Bespoke can also choose how to operate these acquired or merged businesses. They can convert them to the Pearce Bespoke name, allow them to continue operating under another name, or operate them under another name and convert existing Pearce Bespoke Businesses to that other name.

This flexibility gives Pearce Bespoke significant control over market consolidation and brand strategy. A prospective franchisee should be aware that Pearce Bespoke could potentially acquire or merge with a competitor within their Development Area, which could alter the competitive landscape. However, the franchisee would not have the right to prevent such actions.
