What This Means (2025 FDD)
According to the 2025 Pearce Bespoke FDD, the Releasor represents and warrants that they are duly authorized to enter into the General Release of Claims. This means the Releasor confirms they have the legal right and authority to sign the release on behalf of the Franchisee. Additionally, the Releasor warrants that they can fulfill the obligations outlined in the release.
For individuals signing on behalf of the Franchisee, they represent and warrant they are authorized to execute the release on the Franchisee's behalf. This ensures that the person signing has the proper authorization from the Franchisee to do so, binding the Franchisee to the terms of the release.
Furthermore, the Releasor represents and warrants that all individuals who currently hold a direct or indirect ownership interest in the Franchisee are signatories to the Release. This is a comprehensive measure to ensure that all parties with a stake in the Franchisee's business are in agreement with the release, preventing future disputes or claims from those parties.
