According to the 2025 FDD, as an employee, independent contractor, officer, and/or director of a Pearce Bespoke Business, you can only use the Confidential Information for the performance of your duties on behalf of Pearce Bespoke and in accordance with the scope of your work with them. This means you cannot use the information for any other business or capacity outside of your role within the Pearce Bespoke Business.
The Confidentiality and Restrictive Covenant Agreement states that you must maintain the confidentiality of the Confidential Information at all times and not make unauthorized copies of documents containing this information. You are also required to take reasonable steps to prevent unauthorized use or disclosure of the Confidential Information and must stop using it immediately upon request or demand from Pearce Bespoke.
Failure to comply with these terms will cause irreparable harm to Pearce Bespoke and its franchisees, potentially leading to injunctive relief. This means Pearce Bespoke can seek a court order to stop you from violating the agreement. The agreement emphasizes that the franchisor, Pearce Bespoke Franchising, LLC, is a third-party beneficiary, reinforcing their right to enforce these confidentiality provisions.
This agreement is not an employment agreement but a confidentiality agreement, highlighting the importance Pearce Bespoke places on protecting its proprietary information. The definition of "Confidential Information" is broad, covering methods, customer data, the Operations Manual, and other non-public procedures used by the Pearce Bespoke Business.
