What This Means (2025 FDD)
According to Pearce Bespoke's 2025 Franchise Disclosure Document, upon termination of the franchise agreement, you are required to return to Pearce Bespoke all copies of each Manual and all other material that Pearce Bespoke has copyrighted or designated as confidential. This obligation ensures that Pearce Bespoke retains control over its proprietary and confidential information, which is crucial for maintaining the brand's integrity and competitive advantage. The specific definition of confidential information is broad, encompassing various aspects of the Business System, including the Operations Manual, specifications, sources of supply, pricing paradigms, construction plans, computer hardware and software, advertising materials, customer lists, training programs, and communications between Pearce Bespoke and the franchisee.
In addition to returning the specified materials, Pearce Bespoke may also request that you destroy all or certain Confidential Information and certify such destruction to Pearce Bespoke. This could include customer lists and records, training materials, financial records, the Manual, and computer databases. Furthermore, you are obligated to remove all signs and other materials bearing the Pearce Bespoke name and other Marks, and disconnect any internet website you established in connection with your Pearce Bespoke franchise. If you fail to remove the signs and materials, Pearce Bespoke reserves the right to do so at your expense.
The FDD emphasizes that all customer lists or information generated by the Pearce Bespoke Franchise are the property of Pearce Bespoke, not the franchisee. Pearce Bespoke retains the right to use this information to market to your customers both during and after the term of the Franchise Agreement.
