  • A. Through the expenditure of considerable time, effort, and money, Franchisor has developed unique and distinctive businesses which feature high-quality custom men's and women's clothing ("Pearce Bespoke Franchises"). Franchisor uses and licenses certain trademarks, including Pearce Bespoke™, and may hereafter adopt, use, and license additional or substitute trademarks, service marks, logos, and commercial symbols in connection with the operation of Pearce Bespoke Franchises (collectively, the "Marks"). Pearce Bespoke Franchises use Franchisor's methods, procedures, standards, specifications, and the Marks (all of which are collectively referred to as the "Business System"), which Franchisor may periodically improve, further develop, or otherwise modify.

According to Pearce Bespoke's 2025 Franchise Disclosure Document, Pearce Bespoke Franchising, LLC, uses and licenses trademarks, including Pearce Bespoke™, and may adopt, use, and license additional or substitute trademarks, service marks, logos, and commercial symbols in connection with the operation of Pearce Bespoke Franchises. These trademarks, along with Pearce Bespoke's methods, procedures, standards, and specifications, are collectively referred to as the "Business System," which Pearce Bespoke may periodically improve, further develop, or modify.

Pearce Bespoke grants franchisees a personal and non-exclusive license to operate a Pearce Bespoke Franchise using the marks designated by Pearce Bespoke from time to time. Franchisees can only use the marks within their franchised territory and must comply with Pearce Bespoke's quality and operating standards. Franchisees cannot acquire any rights in the marks beyond the right of use as governed by the Franchise Agreement.

If Pearce Bespoke determines it necessary, franchisees must make changes or discontinue the use of any marks as required by Pearce Bespoke, at the franchisee's expense. Franchisees cannot make any changes to the use of the marks and Business System unless directed by Pearce Bespoke in writing. Franchisees must also get Pearce Bespoke's prior written approval for the style, form, and use of the words "Pearce Bespoke" in any advertising or written materials. Pearce Bespoke retains all rights relating to the Pearce Bespoke website and the individual Pearce Bespoke Franchises' website template and domain name(s) (URL) and may alter or terminate the websites upon thirty (30) days' notice to Franchisee.
