What This Means (2025 FDD)
According to the 2025 Pearce Bespoke Franchise Disclosure Document, a franchisee acknowledges that the Franchise Agreement encompasses all agreements, representations, and arrangements, whether oral or written, between the franchisee and Pearce Bespoke. This acknowledgment confirms that any prior contracts or agreements are canceled and terminated upon signing the Franchise Agreement. Furthermore, the agreement explicitly states that it cannot be changed or terminated through oral agreements. This clause is initialed by the franchisee, indicating their understanding and acceptance of this condition.
This provision is a standard integration clause in franchise agreements, designed to prevent disputes based on alleged promises or understandings that are not explicitly written into the contract. By acknowledging this, a prospective Pearce Bespoke franchisee is agreeing that they cannot later claim they were promised something that is not included in the written Franchise Agreement. It places the onus on the franchisee to ensure all important terms and conditions are documented in the agreement before signing.
For a prospective Pearce Bespoke franchisee, this means it is crucial to carefully review the entire Franchise Agreement and ensure that all expectations and understandings are clearly stated within the document. Any verbal promises or assurances from the franchisor or its representatives should be confirmed in writing and included as part of the agreement. Failure to do so could leave the franchisee without recourse if those promises are not fulfilled. This clause protects Pearce Bespoke from future claims based on undocumented agreements, making the written contract the sole source of obligations for both parties.
