What This Means (2025 FDD)
According to the 2025 Pearce Bespoke Franchise Disclosure Document, the franchise agreement contains all agreements between the involved parties. The franchisee acknowledges that the franchise agreement includes all oral and written agreements, representations, and arrangements between the parties. Any rights from previous contracts are canceled and terminated, and the agreement cannot be changed or terminated orally.
Pearce Bespoke ensures that no claims of success or failure have been made before signing the Franchise Agreement, and the franchisee understands all terms and conditions within the agreement. The franchisee also confirms they have no knowledge of any representations by Pearce Bespoke or its representatives that contradict the terms of the Franchise Agreement or its incorporated documents.
This clause is typical in franchise agreements to prevent disputes based on verbal promises or understandings not written into the contract. It protects Pearce Bespoke from claims based on representations made by employees or agents that are not part of the official agreement. It also confirms that the franchisee is entering the agreement based on their own investigation and understanding of the risks involved.
