Each individual executing this Release on behalf of Franchisee represents and warrants that he/she is duly authorized to enter into and execute this Release on behalf of Franchisee. Releasor further represents and warrants that all individuals that currently hold a direct or indirect ownership interest in Franchisee are signatories to this Release.

What This Means (2025 FDD)

According to the 2025 Pearce Bespoke FDD, the General Release of Claims, when executed, releases Pearce Bespoke from various liabilities and claims. Specifically, the Releasor (which includes the franchisee and individuals holding ownership interest in the franchisee) discharges Pearce Bespoke and its affiliates from any claims, liabilities, damages, expenses, actions, or causes of action that the Releasor may have, whether known or unknown, past or present, absolute or contingent, suspected or unsuspected. This release extends to claims arising directly or indirectly from the execution and performance of the Franchise Agreement, as well as the offer and sale of the franchise.

Franchisees in Washington State are protected by an explicit exception: the release does not cover claims arising under the Franchise Investment Protection Act, Chapter 19.100 RCW, or its associated rules. This means that Washington State franchisees retain their rights to pursue claims related to franchise investment protection, regardless of signing the General Release.

The General Release is typically required in specific circumstances, such as the renewal of a franchise or as a condition for approving the sale of the franchise. Before signing the release, franchisees should understand that they are waiving their rights to pursue legal action against Pearce Bespoke for a broad range of potential claims, except where prohibited by law, as in the case of Washington State's Franchise Investment Protection Act.
