What This Means (2025 FDD)

According to Pearce Bespoke's 2025 Franchise Disclosure Document, Pearce Bespoke has established an e-commerce site. However, Pearce Bespoke retains the right to distribute products through alternative channels, including the internet or any other form of electronic commerce, using their trademarks both inside and outside of a franchisee's territory. This means that while Pearce Bespoke operates an e-commerce site, franchisees should be aware that the franchisor can sell products online, potentially competing with their brick-and-mortar locations.

Pearce Bespoke also reserves the right to distribute products through other channels or establish franchised or company-owned businesses selling similar products or services under a different trademark, both inside and outside the Franchised Territory. This clause indicates that Pearce Bespoke could introduce new brands or sales methods that might compete with existing franchisees. Franchisees will not receive compensation if Pearce Bespoke or its affiliates solicit or accept orders within their territory through these alternative channels.

Furthermore, franchisees are restricted from offering products or services through any channel not expressly approved by Pearce Bespoke. This limitation requires franchisees to seek approval for any additional distribution channels they wish to use, with Pearce Bespoke considering factors such as the franchisee's operating history, sales volume, and adherence to quality standards. Franchisees are also prohibited from selling products to vendors who would then sell to customers, further controlling the distribution process.
