What This Means (2025 FDD)

According to the 2025 Pearce Bespoke FDD, a franchisee who desires to transfer their franchise agreement must provide a General Release of Claims to Pearce Bespoke Franchising, LLC as a condition of the franchisor's consent to the transfer. This release is executed by the franchisee and anyone holding an ownership interest in the franchise.

The General Release of Claims document releases Pearce Bespoke Franchising, LLC from any and all claims, liabilities, damages, expenses, actions, or causes of action related to the franchise agreement. This includes those arising directly or indirectly from the execution and performance of the agreement, as well as the offer and sale of the franchise itself. The release extends to Pearce Bespoke Franchising, LLC's affiliates, parents, subsidiaries, officers, directors, agents, partners, shareholders, employees, representatives, successors, assigns, and attorneys.

However, the General Release of Claims does not apply to claims arising under the Franchise Investment Protection Act, Chapter 19.100 RCW, or the rules adopted thereunder. This means that the franchisee retains their rights under this specific law, even after signing the release. The franchisor provides its current standard form of General Release as Exhibit G.
