According to the 2025 Pearce Bespoke Franchise Disclosure Document, unauthorized use of the manuals includes any unauthorized use, disclosure, or duplication of any portion of the manuals. It also includes duplicating, disclosing, or making any unauthorized use of any confidential information provided to the franchisee by Pearce Bespoke. This means a franchisee must not copy, share, or reproduce the manuals or any confidential information contained within them, except as explicitly authorized in the Franchise Agreement. This extends to all training materials, instructional content, financial records, software, and customer lists.
Pearce Bespoke requires franchisees and their personal guarantors to avoid copying, duplicating, recording, or reproducing any confidential information, including the operations manual, in any format. Franchisees must not share this information with third parties or store it in a computer or electronic format accessible to others. Upon termination of the Franchise Agreement, franchisees must return all confidential information to Pearce Bespoke or destroy it and certify the destruction. Customer lists and information remain the property of Pearce Bespoke, which may use this information for marketing purposes even after the agreement ends.
Franchisees are permitted to share confidential information only with operational personnel on a "need to know" basis, ensuring these individuals maintain confidentiality. Pearce Bespoke may also require franchisees to have their owners, management, and staff sign confidentiality and non-competition agreements. This is to ensure that the confidential information is protected and not misused, which could harm the brand and its proprietary business system. The franchisor also has the right to revise the manuals at any time, and the franchisee is responsible for staying up to date with these changes.
