A. Through the expenditure of considerable time, effort, and money, Franchisor has developed unique and distinctive businesses which feature high-quality custom men's and women's clothing ("Pearce Bespoke Franchises"). Franchisor uses and licenses certain trademarks, including Pearce Bespoke™, and may hereafter adopt, use, and license additional or substitute trademarks, service marks, logos, and commercial symbols in connection with the operation of Pearce Bespoke Franchises (collectively, the "Marks"). Pearce Bespoke Franchises use Franchisor's methods, procedures, standards, specifications, and the Marks (all of which are collectively referred to as the "Business System"), which Franchisor may periodically improve, further develop, or otherwise modify.

According to Pearce Bespoke's 2025 Franchise Disclosure Document, the Business System collectively refers to the methods, procedures, standards, specifications, and Marks that Pearce Bespoke Franchises use. The Marks include certain trademarks, such as Pearce Bespoke™, and any additional or substitute trademarks, service marks, logos, and commercial symbols that Pearce Bespoke may adopt, use, and license in connection with the operation of Pearce Bespoke Franchises.
Pearce Bespoke may periodically improve, further develop, or otherwise modify the Business System. Franchisees must operate their Pearce Bespoke Franchise in accordance with the uniform requirements and brand standards of the Business System. This includes maintaining the uniformity and brand standards that Pearce Bespoke reasonably requires for all products and services.
The design and appearance of the Pearce Bespoke Franchise, including signage, are part of the Business System. To maintain the integrity of Pearce Bespoke's Business System, franchisees must maintain a high degree of uniformity. Franchisees must only display signs, emblems, logos, lettering, and artwork that Pearce Bespoke requires or periodically provides and must follow Pearce Bespoke's current standards regarding design and appearance.
Confidential Information includes all elements of the Business System and all products, services, equipment, technologies, policies, standards, requirements, criteria and procedures that now or in the future are part of the Business System. It also includes the Operations Manual, specifications, sources of supply, procedures, systems, techniques and activities employed by Pearce Bespoke or the franchisee in the offer and sale of products and or services at the Pearce Bespoke Franchise.
