What This Means (2025 FDD)
According to the 2025 Pearce Bespoke Franchise Disclosure Document, Pearce Bespoke's evaluations or inspections of a franchisee's business do not create an assumption of responsibility for the franchisee's obligations under the Franchise Agreement. Pearce Bespoke conducts inspections and provides written reports to franchisees, but these activities are explicitly stated not to constitute control over the franchisee's daily operations.
This means that while Pearce Bespoke monitors and advises on the operations of the franchise, the franchisee remains solely responsible for fulfilling all obligations outlined in the Franchise Agreement. The franchisee cannot claim that Pearce Bespoke's oversight transfers any legal or financial responsibilities to the franchisor.
This clause protects Pearce Bespoke from liability related to the franchisee's actions and ensures that franchisees understand they are operating independently and are accountable for their own business practices and adherence to the Franchise Agreement. Prospective franchisees should be aware that Pearce Bespoke's inspections are designed to maintain brand standards and provide support, not to take over the franchisee's responsibilities.
