What am I required to maintain regarding the Confidential Information related to Pearce Bespoke?

According to the 2025 Pearce Bespoke FDD, as an employee, independent contractor, officer, and/or director, you will gain access to Confidential Information and are bound by certain obligations to protect it. Confidential Information includes non-public methods, specifications, standards, policies, procedures, information, concepts, programs, and systems relating to the development, establishment, marketing, promotion, and operation of Pearce Bespoke. It also encompasses customer information, customer lists, email lists, database lists, product sales, operating results, financial performance, financial data, Business Management System Data, information in the Pearce Bespoke Operations Manual, and production and service procedures not disclosed to the public.

The FDD specifies that you must not use the Confidential Information in any business or capacity other than the Pearce Bespoke Business. You are required to maintain the confidentiality of the Confidential Information at all times and avoid making unauthorized copies of documents containing it. Furthermore, you must take reasonable steps, as requested by Pearce Bespoke, to prevent unauthorized use or disclosure of the Confidential Information and immediately cease using it upon request or demand.

The agreement emphasizes that failure to comply with these terms will cause irreparable harm to Pearce Bespoke Franchising, LLC, and its franchisees, for which there is no adequate remedy at law. Consequently, any violation of these covenants entitles Pearce Bespoke Franchising, LLC, to injunctive relief. You also waive any right to challenge the terms of the agreement as overly broad, unreasonable, or otherwise unenforceable.

This means that as a Pearce Bespoke franchisee, you are legally obligated to safeguard all sensitive business information, customer data, and operational procedures. This obligation extends to preventing unauthorized access or use of this information, and any breach could result in legal action, including injunctive relief, against you. Prospective franchisees should carefully review these confidentiality obligations and ensure they have adequate systems and procedures in place to protect Pearce Besoke's Confidential Information.
