Pre-Opening Obligations: Before you open the Bakery under the Franchise Agreement, we will undertake the following:
- Protected Territory. We will define the territory within which you must operate the Bakery. (Section 1.2 of the Franchise Agreement; Sections 3 and 6 of the Development Rights Rider).

- Standards and Specifications. We will provide you with specifications and requirements for flooring, signage, shelving, display cases, POS systems, computer hardware, software, and other furniture, fixtures, and equipment necessary to open your Bakery. We will also provide you with specifications for and provide you with a list of approved and designated suppliers from which you agree to purchase the equipment, food, smallwares, and other inventory and supplies necessary for the start-up and ongoing operations of your Bakery. (Section 5.3 of the Franchise Agreement). We do not deliver or install these items.

- Operations Manual. We will loan you a copy of our proprietary and confidential Operations Manual electronically, which we may amend periodically. The Table of Contents to our 549 page Operations Manual is attached as Exhibit E to this Disclosure Document. We reserve the right to provide the Operations Manual electronically, such as by CD-ROM or a password protected intranet website. The contents of the Operations Manual constitute our trade secrets and you cannot disclose them to anyone other than employees of your Bakery who require such information to operate your Bakery.

What This Means (2025 FDD)
According to the 2025 Nothing Bundt Cakes FDD, Item 11 outlines the franchisor's pre-opening obligations. Specifically, it states that Nothing Bundt Cakes will provide franchisees with the standards and specifications for items such as flooring, signage, shelving, display cases, POS systems, computer hardware and software, and other necessary furniture, fixtures, and equipment. Nothing Bundt Cakes will also provide a list of approved and designated suppliers from which franchisees must purchase the equipment, food, small wares, and other inventory and supplies needed for the bakery's start-up and ongoing operations. However, the FDD explicitly states that Nothing Bundt Cakes does not deliver or install these items.
Item 23 of the FDD also states that franchisees may not sign any lease or sublease that Nothing Bundt Cakes has not consented to in writing. While Nothing Bundt Cakes may guide franchisees in the leasing process, they will not negotiate the lease or sublease or provide any legal advice. If Nothing Bundt Cakes accepts a proposed site and the franchisee secures lawful possession, but a franchise agreement has not yet been signed, the franchisee must sign a separate franchise agreement and pay the remaining portion of the initial franchise fee within the specified time period.
These stipulations ensure that Nothing Bundt Cakes maintains control over the brand's image and operational standards. For a prospective franchisee, this means they will have guidance on what to purchase and from whom, but they are ultimately responsible for the actual procurement and installation. The franchisor's consent on leases also gives them a level of oversight on the franchisee's location and terms, which can be both a benefit (ensuring a suitable location) and a restriction (limiting the franchisee's autonomy).
