TO THE NBC FRANCHISOR LLC FRANCHISE AGREEMENT CONFIDENTIALITY AGREEMENT
As a condition of performing services for, being employed by or otherwise associated with , __________________________ (the "Franchisee"), I acknowledge that as a franchisee of NBC Franchisor LLC (the "Company"), Franchisee is obligated to ensure that its owners, managerial-level employees and members of their immediate families who have access to our Confidential Information (as defined below), including Franchisee's owners, members, general partners, managers, officers, sales personnel, staff and representatives and contractors protect the Confidential Information and trade secrets of the Company. Accordingly, I accept and agree to the following conditions without limitations:

- The Company, as the result of the expenditure of time, skill, effort and resources, has developed and owns a distinctive format and system (the "System") relating to the establishment and operation of Bakeries, which feature and offer for sale to the public decorated bundt cakes and other related gift items. The Company possesses certain proprietary and confidential information relating to the operation of the System, which includes certain proprietary trade secrets, methods, techniques, formats, specifications, systems, procedures, methods of business practices and management, sales and promotional techniques and knowledge of, and experience in, the operation of the Bakery.

- Any and all information, knowledge, know-how, and techniques which the Company specifically designates as confidential shall be deemed to be Confidential Information for purposes of this Agreement.
