What This Means (2025 FDD)

According to Nothing Bundt Cakes' 2025 Franchise Disclosure Document, franchisees are granted the option to renew their franchise agreement for one additional term. This renewal term extends the agreement by 10 years, as detailed in Section 2.2 of the Franchise Agreement. This contrasts with the Development Rights Rider, which does not offer any renewal or extension options.

To exercise the renewal option, Nothing Bundt Cakes franchisees must meet several requirements. These include providing advance notice of their intent to renew, specifically no fewer than 3 months and no greater than 9 months before the current term expires. Franchisees must also demonstrate that they have the right to continue operating at the approved location or secure a substitute location acceptable to Nothing Bundt Cakes. A reimage survey must be conducted within a specific timeframe, not more than 12 months and not less than 6 months before the term's expiration, to plan for reimage investments.

Furthermore, franchisees must prove their financial capability to operate the bakery for the renewal term by providing financial records as requested by Nothing Bundt Cakes, subject to inspection and audit rights. All maintenance, refurbishing, reimaging, renovating, and updates to the bakery premises, including hardware and software, must be completed to meet the then-current system standards for new franchisees, no later than 90 days before the current term expires. Franchisees must not be in breach of any agreements with Nothing Bundt Cakes, its affiliates, or approved suppliers and must satisfy all monetary obligations to these parties. Finally, franchisees must complete any then-current training requirements for renewing franchises at their own expense and execute the then-current form of the Franchise Agreement.

These conditions for renewal are fairly standard in the franchise industry, ensuring that franchisees maintain brand standards and financial stability. Prospective Nothing Bundt Cakes franchisees should carefully consider these requirements and associated costs to ensure they can meet them when the time comes to renew their franchise agreement.
