(collectively, "Guest Information") also constitute our trade secrets and confidential information. You must report all required Guest Information into our Guest management database (the "CRM").
We do not presently sell or otherwise disclose Guest Information to third parties. You are prohibited from disclosing Guest Information to third parties for any purpose and must adhere to any privacy policies we may now or in the future establish with respect to Guest information. You may divulge Confidential Information only to employees who must have access to it in order to perform their employment obligations. In order to protect our Confidential Information, you shall cause each of your Owners and other employees who have access to our Confidential Information, received training from us or whom we may reasonably require, to execute a confidentiality agreement consistent with the restrictions set forth in the Franchise Agreement with respect to our Confidential Information. We have created a form of Confidentiality Agreement for your convenience which is attached to the Franchise Agreement as Exhibit 4. You are not obligated to use the form of Confidentiality Agreement. However, if you choose to use it, it is your obligation to have it reviewed by your local attorney and otherwise to ensure it is valid and enforceable under applicable law. It is your obligation to ensure that any form of confidentiality agreement that you utilize to comply with the restriction on the use and disclosure of Confidential Information as set forth in the Franchise Agreement is valid and enforceable under applicable law.

What This Means (2025 FDD)
According to Nothing Bundt Cakes's 2025 Franchise Disclosure Document, franchisees have several obligations regarding confidential information. Franchisees cannot communicate, divulge, or use Confidential Information for the benefit of any other entity during or after the term of the Franchise Agreement. This includes trade secrets like Proprietary Recipes, supplier networks and pricing, operating systems, product placement and pricing standards, marketing mixes, copyrighted materials like the Operations Manual, and other know-how related to the Bakery's operation. Guest Information, including names, contact details, purchasing histories, and discounts, is also considered confidential. Franchisees must report all required Guest Information into Nothing Bundt Cakes's Guest management database (the "CRM").
Nothing Bundt Cakes franchisees are prohibited from disclosing Guest Information to third parties and must adhere to any privacy policies established by Nothing Bundt Cakes. Franchisees can only share Confidential Information with employees who need it to perform their job duties. To protect Confidential Information, franchisees must ensure that their Owners and employees with access to Confidential Information, who received training, or whom Nothing Bundt Cakes reasonably requires, execute a confidentiality agreement consistent with the Franchise Agreement's restrictions.
Nothing Bundt Cakes provides a form of Confidentiality Agreement as Exhibit 4 to the Franchise Agreement, but franchisees are not obligated to use it. If a franchisee chooses to use the provided form, they must have it reviewed by their local attorney to ensure it is valid and enforceable under applicable law. Ultimately, it is the franchisee's responsibility to ensure that any confidentiality agreement used complies with the Franchise Agreement and is legally sound.
