What This Means (2025 FDD)

According to the 2025 Nothing Bundt Cakes Franchise Disclosure Document, violating the in-term restrictive covenant allows Nothing Bundt Cakes to terminate the franchise agreement with notice but without an opportunity for the franchisee to correct the violation. The in-term restrictive covenant is detailed in Section 16.1 of the franchise agreement. Additionally, if a franchisee knowingly distributes products within another franchisee's exclusive territory, this is also considered a violation that can lead to termination without an opportunity to cure.

This means that a Nothing Bundt Cakes franchisee must be extremely careful to adhere to the terms of the in-term restrictive covenant and territorial restrictions outlined in the franchise agreement. Failure to do so gives Nothing Bundt Cakes the immediate right to terminate the agreement, which would result in the franchisee losing their business.

In the franchise industry, in-term restrictive covenants typically prevent franchisees from engaging in competitive activities during the term of their franchise agreement. These covenants often restrict the franchisee from operating a similar business or being employed by a competitor within a certain geographic area. The specific terms of Nothing Bundt Cakes' in-term restrictive covenant are found in Section 16.1 of their franchise agreement, which franchisees should review carefully.

Given the severity of the penalty, prospective Nothing Bundt Cakes franchisees should seek legal counsel to fully understand the scope and implications of the in-term restrictive covenant and territorial restrictions before signing the franchise agreement. Understanding these obligations is crucial to avoiding actions that could lead to the termination of their franchise.
