What This Means (2025 FDD)

According to the 2025 Nothing Bundt Cakes Franchise Disclosure Document, the release agreement benefits not only the franchisor and franchisee but also extends to other related parties. Specifically, the "Releasor Parties" which include the franchisee (referred to as the Releasor), their successors, assigns, personal representatives, agents, owners, managers, members, officers, employees, principals, and affiliated entities, all benefit from the release. This means that the release protects a wide range of individuals and entities associated with the franchisee's business operations.

In addition to the Releasor Parties, the release also benefits the "NBC Parties". These include Nothing Bundt Cakes (the Franchisor) and any past or present, direct or indirect affiliate, wholly owned or controlled corporation, subsidiary, successor or assign thereof and any past or present shareholder, member, manager, officer, director, employee, or agent of any of them. This ensures that a broad spectrum of individuals and entities connected to the Nothing Bundt Cakes franchise system are protected from potential claims.

This comprehensive protection is typical in franchise agreements to prevent future legal disputes and ensure a clean break in case of termination or transfer. For a prospective franchisee, this means that signing a release agreement has significant implications for their business and personal liabilities, as well as for the franchisor's obligations. It is important to carefully review the terms of the release with legal counsel to fully understand the scope of protection and potential limitations.
