What This Means (2025 FDD)

According to the 2025 Noodles & Company Franchise Disclosure Document, a franchisee who wishes to transfer their franchise must pay a transfer fee. The transfer fee is $3,500, or the amount in the then-current Franchise Agreement used for new franchises, plus associated costs. This fee must be paid before the transfer is considered valid.

In the case of transferring an Area Development Agreement, the transfer fee is different. The fee is $7,500, plus $3,500 for each Noodles & Company restaurant for which a Franchise Agreement has been executed, or is contemplated by the terms of the Area Development Agreement, plus any transfer fee required by any other agreement between the franchisee and Noodles & Company, plus all costs associated with such transfer.

It's important to note that the transfer is not valid until Noodles & Company approves it. Several conditions must be met for the transfer to be approved, including the franchisee being in compliance with their agreements, the transferee meeting Noodles & Company's criteria, and the transferee agreeing to be bound by the current agreements.
