What This Means (2025 FDD)

According to the 2025 Noodles & Company Franchise Disclosure Document, upon termination of the Area Operator's rights, the Area Operator must immediately stop using all trade secrets, Confidential Information, the Marks, and any confusingly similar trademark, service mark, trade name, logotype, or other commercial symbol or insignia. This obligation is a standard practice in franchising, ensuring that the franchisee does not continue to benefit from the franchisor's intellectual property after the agreement ends.

This requirement protects Noodles & Company's brand identity and proprietary information. The term "Marks" refers to the trademarks, service marks, and other identifying symbols that distinguish Noodles & Company from other businesses. By preventing the former franchisee from using these Marks or any confusingly similar variations, Noodles & Company maintains control over its brand and prevents potential customer confusion.

In addition to ceasing the use of intellectual property, the Area Operator is also required to return all property belonging to Noodles & Company, including the Operations Manual, menus, advertising materials, and computer software programs. The Area Operator is also responsible for making cosmetic changes to the premises so that it no longer resembles Noodles & Company's proprietary designs. This includes removing all Noodles & Company identifying materials and distinctive cosmetic features. These post-termination obligations are designed to ensure a clean break between the franchisor and franchisee, protecting the integrity of the Noodles & Company brand and system.
