What This Means (2025 FDD)
According to Noodles & Company's 2025 Franchise Disclosure Document, Noodles & Company has the right to transfer and assign the franchise agreement. Specifically, the agreement is fully transferable and assignable by Noodles & Company, whether through legal operation or other means. This means Noodles & Company can transfer the agreement to another party, who will then benefit from the agreement.
This assignment is binding on all parties involved, including their executors, administrators, heirs, assigns, and successors. The new party that Noodles & Company assigns the agreement to will be legally bound by its terms.
For a prospective franchisee, this clause means that the relationship they initially establish with Noodles & Company could be transferred to a different entity during the term of the agreement. While the terms of the agreement remain the same, the franchisee would be dealing with a new management structure. It is a standard clause in most franchise agreements that allows the franchisor flexibility in its business operations.
