    1. Ownership Rights Reserved. Franchisee shall retain all rights in and to the Technology Franchisee owns, or licenses from a third party, subject to the rights of Company as set forth in any Area Development Agreement and the Franchise Agreements. Company retains all rights in and to the software, hardware and systems it owns, including any software, technology, materials or intellectual property licensed to Franchisee under any Area Development Agreement and the Franchise Agreements. No title, right or ownership of intellectual property or other proprietary rights of Company are transferred to Franchisee under this Agreement.
