What This Means (2025 FDD)
According to the 2025 Noodles & Company Franchise Disclosure Document, franchisees are explicitly prohibited from making any agreements, warranties, guarantees, or representations on behalf of Noodles & Company. The agreement specifies that franchisees cannot incur debt in the name of Noodles & Company or represent their relationship as anything other than independent contractors. Noodles & Company will not be held responsible for any agreements or representations made by the franchisee to third parties.
This stipulation reinforces the independent contractor status between Noodles & Company and its franchisees. It ensures that franchisees understand they are operating their business independently and cannot bind Noodles & Company to any obligations without explicit authorization. This protects Noodles & Company from potential liabilities arising from unauthorized actions by franchisees.
Franchisees must clearly identify themselves as the owners of their Noodles & Company Restaurant in all dealings with customers, lessors, contractors, suppliers, public officials, and employees. This includes placing notices of independent ownership on forms, business cards, stationery, advertising, and other materials as required by Noodles & Company. This transparency helps avoid any confusion about the franchisee's independent status and prevents third parties from assuming they are dealing directly with Noodles & Company itself.
