Capital expenses necessary for the repair and maintenance of your Noodles & Company Restaurant and modifications required by applicable law or required to abate a hazardous situation are not subject to the time limitations described in the preceding sentence.

What This Means (2025 FDD)

According to Noodles & Company's 2025 Franchise Disclosure Document, capital expenses for repair and maintenance are not subject to the remodeling time limitations. Noodles & Company can require franchisees to undertake structural changes, remodeling, renovations, and other modifications to conform to the brand's image. However, these modifications, with the exception of signage and equipment, will not be required more often than once every five years during the term of the franchise or at the time of renewal or transfer.

However, there is no limit to how much Noodles & Company may require a franchisee to spend on general repairs and maintenance. Expenditures related to signage and equipment, whether for repair or replacement, are considered maintenance expenditures rather than remodeling expenditures.

Capital expenses for repair and maintenance, as well as modifications required by law or to abate a hazardous situation, are not subject to the five-year remodeling time limit. This means Noodles & Company franchisees may need to make such capital expenditures more frequently than every five years.
