In consideration of our approval of the Premises, you and your Owners release and hold harmless us, our Affiliates, officers, directors, employees and agents from any and all loss, damages and liability arising from or in connection with the selection and/or approval of the Premises for development as a Noodles & Company Restaurant; agree to timely pay the Franchise Fee, as hereinafter defined for such approved site; and agree not to locate such Noodles & Company Restaurant at any other location without obtaining our prior written approval and completing the entire site selection process for

said new site.
