What This Means (2025 FDD)

Based on the 2025 Mrcool Franchise Disclosure Document, there is no mention of a specific underreporting threshold that would trigger action by Mrcool regarding a franchisee's gross sales. The document does outline Mrcool's right to make decisions based on "Reasonable Business Judgment" concerning the Franchise Agreement, the System, MRCOOL Centers, Franchisee's Center Location, and/or the Franchised Business. This includes implementing marketing and accounting control systems.

Additionally, the FDD states that franchisees must disclose all ideas, concepts, methods, and products conceived or developed by the franchisee and their affiliates relating to the development and operation of MRCOOL Centers. This suggests Mrcool maintains a close watch on franchisee activities and expects full transparency.

While the FDD does not specify a precise threshold for underreporting that would trigger action, it emphasizes the importance of compliance with the agreement and the potential for legal action in the event of a breach. The document also mentions the franchisee's responsibility to comply with all applicable laws, rules, and regulations, which would include accurate financial reporting.

Prospective franchisees should seek clarification from Mrcool regarding what specific actions or omissions related to financial reporting could lead to intervention or penalties. Understanding Mrcool's expectations and monitoring processes will be crucial for maintaining a healthy franchisor-franchisee relationship and avoiding potential disputes.
