If a Mrcool franchisee proposes a new supplier, what must they provide to Mrcool in writing?

inances, building codes, permit requirements and lease or deed requirements and restrictions;
- (4) Provide Franchisor timely written reports regarding the process of construction and remodeling in compliance with Franchisor's then current specifications; and
- (5) Establish filing, accounting, and inventory control systems, conforming to the requirements prescribed by Franchisor, if any.
At all times, in the construction and operation of the Franchised Business, Franchisee shall exclusively install, use, attach, maintain, replenish and replace only those types of construction and decorating materials, furniture, fixtures, equipment, and signs that Franchisor has approved or designated in the Operations Manual for MRCOOL Centers as meeting Franchisor's specifications and standards for appearance, function and performance. Franchisee only may purchase approved or designated types of construction and decorating materials, fixtures, equipment, furniture and signs from any supplier approved or designated by Franchisor, which may include Franchisor and Franchisor's affiliates.
3.C. CENTER OPENING
Franchisee must develop and open the Franchised Business to the public and, commence the day-to-day operations of the Franchised Business, on or before the Scheduled Business Commencement Date. Notwithstanding the foregoing, Franchisee agrees that prior to opening the Franchised Business to the Public, Franchisee must, as determined by Franchisor: (a) be in compliance with the terms and conditions of this Agreement; (b) have satisfied the pre-opening obligations set forth by Franchisor in the Operations Manual; (c) have completed and satisfied the training obligations designated by Franchisor; and (d) obtained Franchisor's written consent to open.

What This Means (2025 FDD)
Based on the 2025 Mrcool Franchise Disclosure Document, franchisees must adhere to Mrcool's standards for construction, decorating materials, furniture, fixtures, equipment, and signs. These items must meet Mrcool's specifications for appearance, function, and performance. Franchisees are only allowed to purchase approved or designated types of these items from suppliers that Mrcool has approved or designated, which may include Mrcool itself or its affiliates.
Before a Mrcool franchisee can construct, equip, and build out their Center Facility and Center Location, they must first prepare and submit specific plans and specifications to Mrcool for approval. These plans must be prepared by design consultants designated or approved by Mrcool and hired by the franchisee at their own expense. The plans and specifications must be specifically tailored for the franchisee's Center Facility and Location, reflecting and complying with Mrcool's generalized plans and specifications, and satisfying the requirements set forth in the Operations Manual.
If Mrcool determines that any plans are not consistent with its prototype plans and specifications, Mrcool has the right to prohibit the implementation of those plans and disapprove them. This ensures that all Mrcool Centers maintain a consistent brand image and operational standard.
